Corporate Social Responsibility (CSR) Policy
1. PREAMBLE
a. The provisions related to CSR are incorporated under Section 135 of Companies Act, 2013 (the Act) read with Schedule VII to the Act and the Companies (Corporate Social Responsibility Policy) Rules, 2014 (the Rules) and amendments thereunder time to time along with General Circular No. 21/2014 w.r.t. Clarification with regard to provisions of Corporate Social Responsibility under section 135 of the Companies Act, 2013.
This Policy has been formulated under the above provisions of the Act and shall be applicable to all CSR initiatives and activities undertaken by the Company, for the benefit of different segments of society.
b. The Company has an obligation to the society and is committed towards social responsibilities in a meaningful manner. Company shall be responsive, imaginative and sensitive to the social needs in the same manner in which it treats its customers, business associates, shareholders and employees. The company’s focus will be to contribute towards sustainable development of the society and environment and to make our Country a better place for future generations. The Company has an obligation to the society and is committed towards social responsibilities in a meaningful manner. c. CSR policy encompasses the company’s philosophy for delineating its responsibility as a corporate citizen and lays down the guidelines and mechanism in this regard.
2. CSR VISION STATEMENT
As a responsible corporate citizen Jindal Intellicom Limited (“JindalX”) would endeavor to:
a. Ensure an increased commitment at all levels in the organization to operate its business in an economically and socially sustainable manner, while recognizing the interests of all its stakeholders.
b. To directly or indirectly take up programmes that benefit the society particularly in the areas of its operations.
c. To generate, through its CSR initiatives, a community goodwill for the company and help reinforce a positive and socially responsible image of JindalX’s corporate entity.
3. COMPOSITION OF CSR COMMITTEE
The CSR Committee shall consist of the following directors:

4. ROLE AND RESPONSIBILITIES OF CSR COMMITTEE
The responsibilities of the CSR Committee include:
a. Formulating and recommending to the Board of Directors, a CSR policy indicating the activities to be undertaken by the Company in areas or subject, as specified in Schedule VII of the Act;
b. Recommending the amount of expenditure for the CSR activities;
c. Monitoring the CSR Policy /activities of the Company from time to time;
d. Review and recommend any amendments to be made in the CSR policy of the Company;
e. Review and recommend the CSR report to be included in the board’s report;
f. To carry out such other functions as are assigned by the Board.
5. FUNDING AND RESOURCE ALLOCATION
For achieving its CSR objectives through implementation of meaningful and sustainable CSR programs, the Company will allocate at least 2% of the average net profits of the company made during the three immediately preceding financial years, as computed under Section 198 of the Companies Act, 2013, as its Annual CSR Budget or such other amount as is approved by the Board.
6. CSR INITIATIVES:
In line with Schedule VII of the Act and the CSR Rules, the Company shall undertake CSR activities included in its Annual CSR Plan, as recommended by the CSR Committee. The Committee is authorized to approve any modification to the existing Annual CSR Plan or to propose any new program during the financial year under review.
7. CSR ACTIVITIES:
a. Making contributions to the NGOs working for social welfare of economically weaker sections.
b. Pooling funds with CSR activities of the group company(ies), peer company(ies) as may be approved by the Board on the recommendation of the CSR Committee.
c. Joining the eligible initiatives of CSR by any organ of parent /group companies as approved by the Board on recommendation of CSR Committee.
d. The Company through a registered trust or a registered society can undertake CSR activities as per the provisions of the Companies Act, 2013
e. Contribution to the Prime Minister’s National Relief Fund or any other fund set up by the Central Government or the State Governments for socio-economic development and relief and funds for the welfare of the Scheduled Castes, the Scheduled Tribes, other backward classes, minorities and women.
f. Any other program/project relating to the activities defined in Schedule VII of the Companies Act, 2013, as applicable for the time being and as amended from time to time.
IMPLEMENTATION
CSR programs shall be implemented through Company’s employees who are part of CSR projects, through group Companies. JindalX may work with NGOs, Trusts, government bodies, educational institutions, other corporates and industry associations and other suitable implementing organizations as implementing partners for its CSR programs. The services of any external agencies or persons who have experience in the same or similar projects or programs undertaken or proposed to be undertaken by the company may also be made available for successful implementation and monitoring of the project.
MONITORING OF CSR ACTIVITIES
CSR committee of the company will be responsible for the monitoring of various CSR projects or programs undertaken by the company directly or indirectly. The committee shall ensure that;
a. Company undertakes the CSR activities as provided in the CSR policy
b. The projects/ programs are implemented as per the program approved by the board
c. The budget allocated for each of the project is utilized for the projects as per the approved
plans.
d. The objective of the project/program is achieved as per the plans
e. Company shall provide necessary resources and human capital for implementation and the effective monitoring of the CSR projects and programs as may be directed by the CSR
Committee. The services of any external agencies or persons who have experience in the same or similar projects or programs undertaken or proposed to be undertaken by the company may also be made available for successful implementation an monitoring of the project.
GENERAL
a. In case of any doubt with regard to any provision of the policy and also in respect of matters not covered herein, the interpretation and decision of the CSR Committee shall be final.
b. The Company may take up other activities/Projects/Programs as it may consider appropriate.
c. Any or all provisions of the CSR Policy would be subject to revision/amendment in accordance with the guidelines on the subject as may be issued by Government, from time to time.
d. Surplus arising out of the CSR projects or programs or activities shall not form part of the business profit of the Company.
e. The CSR policy of the company may be amended at any time by the board of the company on the recommendation of the CSR committee.
REPORTING
On approval of the CSR policy or any amendments thereof, the contents of the policy shall be included in the Boards’ report.
At the end of each financial year, the CSR committee shall prepare a report of the CSR program in the prescribed form relating to the financial year and submit to the board for its inclusion in the Board’s report.
